1. Definitions

In these Terms and Conditions:

  • "You", "Your", "Client" refers to the individual or organization using our website or engaging our services
  • "Services" refers to AI integration services including assessments, implementations, and documentation
  • "Website" refers to the Neurapath website at neeurapatths.top
  • "Agreement" refers to the contract formed by these Terms and any service engagement documents

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services.

You confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are accepting these terms on behalf of an organization, you confirm that you have authority to bind that organization.

3. Service Description

Neurapath provides AI integration services to organizations in Malaysia and the broader region. Our services include:

  • Integration Readiness Assessments: Evaluation of existing systems and integration planning
  • AI System Integration: Technical implementation of AI capabilities within existing infrastructure
  • Integration Documentation: Creation of technical documentation and knowledge transfer materials

Specific service details, deliverables, timelines, and pricing are outlined in individual service engagement documents. Services are subject to availability and may be modified or discontinued at our discretion.

4. Service Engagement

Engagement of services requires:

  1. Initial consultation to discuss requirements and scope
  2. Formal service proposal outlining deliverables, timeline, and fees
  3. Acceptance of proposal and execution of service agreement
  4. Payment of required deposits or fees as specified

Service commencement is subject to receipt of required documentation and payment. We reserve the right to decline service engagements at our discretion.

5. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate information about your technical environment and requirements
  • Grant necessary access to systems and personnel for assessment and integration work
  • Designate appropriate technical contacts who can provide timely responses
  • Review deliverables and provide feedback within agreed timeframes
  • Maintain confidentiality of technical documentation and proprietary information
  • Ensure compliance with applicable laws and regulations regarding AI use

6. Payment Terms

Payment terms for services:

  • All fees are quoted in Malaysian Ringgit (RM) unless otherwise specified
  • Payment schedules are outlined in individual service agreements
  • Invoices are due within 14 days of issuance unless otherwise agreed
  • Late payments may incur interest charges at the rate of 1.5% per month
  • Services may be suspended for accounts with overdue payments

Prices do not include applicable taxes, which will be added to invoices as required by law.

7. Intellectual Property

Ownership of intellectual property:

  • We retain ownership of our methodologies, tools, templates, and proprietary processes
  • You retain ownership of your existing systems, data, and business information
  • Deliverables specific to your engagement become your property upon full payment
  • We retain the right to use anonymized project information for case studies and marketing
  • You may not resell or redistribute our deliverables to third parties

8. Confidentiality

Both parties agree to:

  • Maintain confidentiality of sensitive information shared during engagement
  • Use confidential information only for purposes of service delivery
  • Protect confidential information with appropriate security measures
  • Return or destroy confidential information upon request after engagement ends

Confidentiality obligations survive termination of the service agreement.

9. Service Delivery and Changes

Regarding service delivery:

  • We will make reasonable efforts to meet agreed timelines and deliverables
  • Timelines may be adjusted by mutual agreement for valid reasons
  • Scope changes require written approval and may affect fees and timelines
  • We are not responsible for delays caused by client actions or external factors beyond our control

10. Warranties and Disclaimers

We warrant that:

  • Services will be performed with reasonable care and professional standards
  • Deliverables will substantially conform to specifications in service agreements
  • We have the right to provide the services offered

Except as expressly stated, services are provided on an "as is" basis without warranties of any kind, express or implied. We do not warrant specific outcomes or results from AI integration projects, as results depend on multiple factors including your systems, data quality, and operational practices.

11. Limitation of Liability

To the maximum extent permitted by Malaysian law:

  • Our total liability for any claims arising from services is limited to the fees paid for the specific service engagement
  • We are not liable for indirect, consequential, or incidental damages
  • We are not liable for losses resulting from your use or inability to use integrated AI systems
  • We are not liable for third-party services or products

Nothing in these terms excludes liability for fraud, gross negligence, or matters that cannot be limited under Malaysian law.

12. Indemnification

You agree to indemnify and hold harmless Neurapath, its employees, and contractors from claims, damages, and expenses arising from:

  • Your use of integrated AI systems
  • Your violation of these terms or applicable laws
  • Infringement of third-party rights through your use of services
  • Inaccurate information provided during service engagement

13. Termination

Service engagements may be terminated:

  • By mutual written agreement
  • By either party with 14 days written notice if the other party materially breaches the agreement
  • Immediately by us if payments are more than 30 days overdue

Upon termination, you remain responsible for payment of services rendered. We will provide work completed to date upon receipt of outstanding payments.

14. Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, labor disputes, or technical failures. Service timelines may be extended for the duration of such events.

15. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising from these terms or service engagements will be subject to the exclusive jurisdiction of the courts of Malaysia.

16. Dispute Resolution

In the event of disputes:

  1. Parties will attempt to resolve disputes through good faith negotiations
  2. If negotiations fail, parties may agree to mediation before pursuing legal action
  3. Legal proceedings may be initiated after exhausting informal resolution attempts

17. General Provisions

Entire Agreement: These terms, together with service engagement documents, constitute the entire agreement between parties regarding services.

Severability: If any provision is found unenforceable, remaining provisions continue in full effect.

Waiver: Failure to enforce any provision does not constitute waiver of that provision.

Assignment: You may not assign rights or obligations without our written consent. We may assign to affiliates or successors with notice.

Notices: Official notices must be sent to addresses specified in service agreements or to [email protected].

18. Changes to Terms

We may update these Terms and Conditions periodically. Changes become effective upon posting to our website with an updated date. Continued use of our website or services after changes constitutes acceptance of updated terms. Existing service engagements continue under the terms agreed at the time of engagement.
